Terms & Conditions for Client Services

These Terms & Conditions describe general principles that may apply to Algorimsoft client engagements. A signed proposal, Statement of Work, Master Services Agreement, NDA, or other written agreement may contain additional terms and will govern the relevant engagement where applicable.

2. Project Scope
Projects are delivered according to agreed requirements, features, deliverables, assumptions, dependencies, milestones, and acceptance criteria. Requests outside the agreed scope may require additional cost, time, or resources.
3. Client Responsibilities
Clients are responsible for providing information and access reasonably necessary for delivery, including product requirements, content, brand assets, technical documentation, API access, hosting access, third-party accounts, test credentials, feedback, and approvals. Delays in required client input may affect project timelines.
4. Estimates and Timelines
Initial estimates are based on the information available at the time they are prepared. Timelines may change because of scope changes, technical discoveries, third-party dependencies, delayed approvals, new requirements, external platform issues, or integration limitations. Only timelines expressly agreed in a signed engagement should be considered contractual commitments.
5. Fees and Payments
Project fees, retainers, hourly rates, milestones, deposits, currencies, payment schedules, and taxes are defined in the applicable proposal or agreement. Work may be paused where invoices remain unpaid beyond agreed payment terms.
6. Intellectual Property and Source Code
Ownership of custom project deliverables is governed by the applicable client agreement. Third-party libraries, open-source software, reusable development components, pre-existing Algorimsoft tools, frameworks, and external services remain subject to their respective ownership and licensing terms. Repository access, source-code handover, infrastructure transfer, and intellectual-property rights should be defined before or during the engagement.
7. Confidentiality
Algorimsoft and its clients are expected to protect confidential information shared during an engagement. Where stronger confidentiality requirements apply, they may be documented in an NDA or client agreement.
8. Third-Party Platforms
Projects may depend on cloud platforms, payment processors, AI providers, APIs, app stores, authentication services, hosting providers, automation platforms, and communication providers. Algorimsoft cannot guarantee the future availability, pricing, behavior, or policies of independent third-party platforms.
9. Security
Algorimsoft applies reasonable engineering practices appropriate to the agreed scope. No software system can be guaranteed completely free from vulnerabilities. Penetration testing, formal security audits, remediation work, or specialized security services must be included explicitly where required.
10. Compliance
Algorimsoft may assist with technical controls related to security and compliance readiness. Algorimsoft does not provide legal advice or independently guarantee regulatory certification unless explicitly agreed as part of an authorized specialist engagement. Clients remain responsible for obtaining appropriate legal or regulatory advice.
11. Staff Augmentation
For staff-augmentation engagements, engineers may work within the client's existing technical processes, day-to-day priorities may be managed by the client, role allocation is defined before or during the engagement, availability depends on staffing capacity, replacement and notice arrangements are governed by the relevant agreement, and client access and security requirements must be communicated before access is granted.
12. White-Label Development
White-label engagements may include NDA-based delivery, agency-branded communication, client-facing restrictions, confidentiality requirements, defined communication protocols, and repository and access controls. These requirements should be agreed before work begins.
13. Project Changes
Material changes to scope may require revised estimates, additional milestones, additional engineers, revised timelines, or new technical planning. Algorimsoft is not required to deliver materially expanded scope under an unchanged commercial agreement.
14. Termination
Termination rights, notice periods, unpaid invoices, source-code transfer, handover responsibilities, and continued support are governed by the relevant signed agreement.
15. Warranty and Support
Post-launch support, maintenance, bug-fix periods, SLAs, and warranty obligations apply only where included in the relevant agreement. Ongoing support should not be assumed automatically.
16. Governing Terms
The applicable signed client agreement determines governing law, venue, and dispute-resolution procedures for each commercial engagement.
